What is Violin Memory's sacked CEO still doing on their board?

It's not like he'll be steering the biz or picking his successor...

Comment Don Basile, the terminated CEO of Violin Memory, still sits on Violin's board of directors.

Unlike Dixon Doll who resigned from his COO position and vacated the board as well, Basile has decided not to resign from the board.

A Violin statement said: "Violin can confirm that Don Basile is still on the board.”

According to Violin’s corporate governance documents, its directors are elected by its stockholders, and except in very limited circumstances (including resignation), remain in their positions until they stand for re-election.

We may assume that Don is not an active board member and is not, for example, involved in the search for a new CEO while board chairman Howard Bain III is in place as interim CEO. Nor will he be, we suppose, discussing company strategy with Bain and the other board members.

This situation is weird. It's like having a brain transplant with the old brain still hanging around - a half asleep Zaphod Beeblebrox, perhaps – or like having a leg amputated but keeping the dead limb still strapped to your body.
